Terms and Conditions of the Welcome Reward

1. The promotion period for the above Welcome Reward shall run from 1 February 2026 to 30 June 2026 (both dates inclusive) (the “Promotion Period”).
2. The Welcome Reward is exclusively available to “Eligible New Customer” who successfully open a designated online account via the VictoryX mobile application of Victory Securities Company Limited (the “Company” or “Victory Securities) during the Promotion Period.
3. “Eligible New Customer” refers to customer who opens a new personal virtual asset account during the Promotion Period:
       a)    Customer who has never opened any account with the Company (“New Customers”); or
       b)    Customer who holds a securities account but has not opened a personal virtual asset account with the Company(“Existing Customer”); and
       c)    Each Eligible New Customer may only receive this Welcome Reward once.
4. Welcome Reward Conditions:
   Eligible New Customer must satisfy the following conditions^ to be eligible for a reward in the form of Bitcoin equivalent to HK$388 in value (“Welcome Reward”):
   a)    New Customer opens a personal virtual asset account and simultaneously opens a personal securities account; or
   b)    Existing Customer opens a personal virtual asset account; and
   c)    Eligible New Customer shall, within 60 days of successfully opening a personal virtual asset account:
           i)    Maintain a minimum balance of HK$10,000 or equivalent in the personal virtual asset account for at least 60 consecutive days; or
           ii)    Execute at least one online transaction (regardless of buy or sell) in the personal virtual asset account.
           d)    The Company will determine the customer's eligibility for this Welcome Reward based on the customer’s account records.
5. Distribution of Welcome Reward: 
          a)    Upon satisfaction of the Welcome Reward Conditions, Eligible New Customer may receive the Welcome Reward from the Company. The Welcome Reward will be deposited into the customer’s individual virtual asset account with the Company based on the timing of the opening of the individual virtual asset account and the fulfillment of the Welcome Reward Conditions:
                   i)    customer who successfully opened the account and satisfied the Welcome Reward Conditions on or before 31 March 2026 will receive the Welcome Reward on or before 30 June 2026.
                   ii)    customer who successfully opened the account and satisfied the Welcome Reward Conditions on or before 30 June 2026 will receive the Welcome Reward on or before 30 September 2026.
           b)    The value of Bitcoin is determined based on the market price on the date of Welcome Reward distribution and may be subject to market fluctuations. 
           c)    The quotas of the Welcome Rewards is limited, and will be distributed on a first-come, first-served basis until exhausted during the Promotion Period.
    
6. If the Eligible New Customer’s personal virtual asset account is cancelled, terminated or suspended for any reason on or before the date of distribution of the Welcome Reward, the Company reserves the right to immediately revoke and/or recover the cash equivalent value (HK$388) of the Welcome Reward so distributed.
    
7. The above Welcome Reward does not apply to corporate and institutional investor customers, employees of the Company, or any customers introduced by employees of the Company or their immediate family members.
    
8. Investors should note that trading in virtual assets or related products involves significant risks, including but not limited to high price volatility, technological and security risks, insufficient liquidity, and other potential losses. Such risks may result in the loss of the entire invested principal. In addition, the Victory Securities’ trading or related services may be terminated due to these risk factors. Accordingly, investors should carefully consider whether such trading is suitable for them based on their own investment objectives, financial situation, risk tolerance, and investment experience. When considering whether to engage in virtual asset trading or investment, investors must fully understand and be aware of the specific risk factors set out in the Virtual Asset Trading Risk Disclosure Statement, and seek professional advice where necessary.
    
9. This Welcome Reward does not constitute an offer, solicitation, recommendation, advice, or any representation or warranty in respect of any securities, virtual assets, financial products, or instruments. This Welcome Reward is provided by Victory Securities Company Limited and has not been reviewed by the Securities and Futures Commission of Hong Kong. The Company will conduct Customer suitability assessment in accordance with the requirements of the Securities and Futures Commission of Hong Kong before providing any related rewards.
    
10. This Welcome Reward is not available to persons in jurisdictions where trading in virtual assets is restricted. Investors are responsible for confirming and complying with the laws and regulations of their own jurisdiction. This Welcome Reward is subject to all applicable laws and regulatory requirements. These Terms and Conditions are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region.
     
11. The Company reserves the right to suspend, vary, terminate or cancel the Welcome Reward, or amend these terms and conditions at any time without prior notice. In the event of any dispute, the Company’s decision shall be final and conclusive.
     
12. The terms and conditions of this Welcome Reward are written in both Chinese and English. In case of any discrepancy or inconsistency, the English version shall prevail.

^For Eligible New Customer of introducer or broker customers,  such Eligible New Customer must complete on-site registration during the Company's designated offline events and submit the relevant details to the Marketing Department upon completion of the event, in addition to the satisfaction of the Welcome Reward Conditions within the Promotion Period in order to be eligible for the Welcome Reward.
